Quantum Health Connect 2026 Terms Agreement
This Sponsorship Agreement (“Agreement”) governs the sponsorship of the Quantum Health Connect 2026 Event (“Event”) hosted by Quantum Health, Inc. (“Quantum Health”) on May 6-8, 2026. By completing this Agreement, (“Sponsor”) agrees to be bound by the terms of this Agreement.
1. Event Site and Time. The Event will be held on May 6-8, 2026, at the JW Marriott, Nashville, Tennessee. Quantum Health reserves the right to modify the Event’s location, hours, and dates; however, any such changes will be made known as far in advance of the Event as possible and Quantum Health will notify Sponsor accordingly.
2. Payment. No exhibition space or sponsorship benefits will be confirmed until full payment is received. Until then, Quantum Health reserves the right to release or resell the reserved space or sponsorship. Additionally, pre-event marketing and branding opportunities and will not be initiated until full payment has been made. Sponsorship payments are due per this schedule:
- 50% of total invoice is due upon contract execution
- The remaining balance is due no later than April 1, 2026
- After April 1, 2026, 100% of total invoice must accompany this signed contract
Quantum Health reserves the right to deny access to the Event for any Sponsor with an outstanding balance. Payments may be submitted by check, made payable to “Quantum Health, Inc.” and sent to: Quantum Health Connect 2026 Sponsorship, c/o Cat Miller, Vice President, Communications & Events, 5240 Blazer Parkway, Dublin, OH 43017
3. Eligibility. Participation in the Event is limited to those companies whose products and solutions align with Quantum Health. Inclusion in the Event is at the discretion of Quantum Health, which reserves the right to reject or cancel any sponsorship agreement at any time- if Quantum Health determines that a Sponsor’s business interests conflict with the Event’s spirit. In such cases, any payments received will be fully refunded.
4. Assignment of Exhibit Space. Quantum Health shall assign exhibition space to Sponsor for the duration of the Event based on priority determined by Quantum Health’s receipt of the completed Exhibit Sponsorship Packet, this Agreement and full payment. Such assignment is granted for the Event period and does not guarantee the availability of the same or similar space for future events. While Quantum Health will make reasonable efforts to accommodate Sponsor's space preferences, all space assignments are subject to Quantum Health’s discretion and final approval. Furthermore, Quantum Health reserves the right to reassign or relocate exhibition space at any time if, in its judgment, such action is necessary to serve the best interests of the Event.
5. Multiple Booth Occupancy. Occupation of booth space by more than one company is strictly prohibited. Sponsor may not sublet all or any part of their exhibition space or permit non-participating company representatives to operate from their space, unless prior written approval is obtained from Quantum Health.
6. Exhibition Hours. Quantum Health will establish exhibition hours and reserves the right to modify them at any time. Sponsors are required to complete their setup at least two hours prior to the Event’s start and may not begin dismantling their exhibits until the Event has officially concluded. Access to the exhibition area outside of the published exhibition hours will be restricted to authorized personnel only.
7. Booth Equipment and Services. Exhibit space rental includes 6-foot table (Platinum level only), a cocktail table (Gold and Silver levels), and Wi-Fi. Sponsors may bring a laptop to demonstrate products and distribute company-related literature. Use of monitors, displays or screens larger than 24 inches is not permitted within the exhibition space. Easels or stands are not allowed at exhibit tables unless prior approval is obtained. Electrical outlets are available upon request.
8. Storage/Packing Crates and Boxes. Sponsors will not be permitted to store packing crates or boxes in the exhibition facility during the Event. Crates and boxes not properly labeled may be destroyed. No trunks, cases or packing material may be brought into or out of the exhibition space during exhibition hours.
9. Arrangement of Logos. Quantum Health will provide Sponsor with a sign displaying Sponsor’s company name and logo, which must be placed on or beside the exhibition table. Quantum Health reserves the right at its sole discretion, to modify the placement and size of Sponsor’s logo.
10. Use of Sponsorship. Sponsor may not resell, assign or transfer any part of their sponsorship benefits. All promotional activities must be limited to the scope of the purchased sponsorship. The distribution or display of promotional materials in hotels, guest rooms, public areas or technical sessions is strictly prohibited. Quantum Health reserves the right to remove, at the Sponsor’s expense, any merchandise or materials it deems unsuitable for the Event.
11. Expo Badges. Sponsor personnel must wear Event-approved identification badges or another form of identification approved by Quantum Health while attending the Event.
12. Photographic Equipment. Photographic equipment is not permitted in the exhibit hall without the written consent of an authorized Quantum Health representative.
13. Sponsor Conduct. Sponsor and its representatives, agents, subcontractors and employees may not congregate or solicit trade in the aisles. The distribution of pamphlets, brochures or other advertising materials must be confined to the designated exhibition space. Sponsor shall not engage in activities that distract attendees from Event programming during the Event hours. All Sponsor personnel are expected to conduct themselves professionally and in accordance with sound business practices.
Quantum Health reserves the right, at its discretion, to withhold or withdraw permission to distribute souvenirs, advertising or other material it deems objectionable. Similarly, Quantum Health may require any exhibition using audible electrical equipment, motion pictures, or similar devices to cease operation if deemed disruptive or inappropriate.
Sponsor may not host receptions or social functions involving delegate attendance during official Event hours without prior written approval of Quantum Health.
14. Force Majeure Cancellation or Termination of Event. If the Event is canceled, postponed, or otherwise rendered impracticable due to circumstances beyond the control of Quantum Health – including but not limited to war, fire, labor strikes, facility construction or renovation, government regulations, public catastrophe, epidemic, acts of God, or any similar event - Quantum Health, in its sole discretion, may refund to the Sponsor a proportionate share of any sponsorship fees received, after deducting expenses incurred and reasonable compensation for its efforts. In no event shall the refund exceed the total amount of sponsorship fees paid to Quantum Health.
If Quantum Health cancels the exhibition for convenience (i.e. not due to a force majeure event), Quantum Health’s sole liability shall be limited to a full refund of the sponsorship fee paid by Sponsor.
15. Sponsor Cancellation. If Sponsor needs to cancel its sponsorship and provides written notice to Quantum Health on or before January 1, 2026, Sponsor will be responsible for 50% of the sponsorship fee. After Jan 1, 2026, all sponsorship fees are nonrefundable.
If Sponsor executes this agreement on or after March 1, 2026, and subsequently cancels its sponsorship, Sponsor will be responsible for 100% of the sponsorship fee, regardless of the date of cancellation.
16. Indemnity, Limitation of Liability and Insurance. Neither Quantum Health nor the Event facility, nor any of their officers, agents, employees, subcontractors or other representatives shall be held liable for, and they are hereby released from, any and all liability for any claims, costs, expenses, damages or losses incurred by any Sponsor or any of their respective visitors, officers, agents, employees or other representatives, arising from any cause whatsoever. This includes, but is not limited to, theft, fire, water damage, casualty, accidents, punitive, incidental or consequential damages, or any other loss or damage.
Sponsor hereby assumes full responsibility for any damage caused to the exhibition facility’s property by the Sponsor or any of their employees, agents, subcontractors, officers, directors, invitees, or other representatives. Sponsor shall indemnify, defend and hold harmless Quantum Health, its agents, subcontractors, directors, officers, employees, and the exhibition facility from and against any and all claims, demands, suits, liabilities, damages, losses, costs, attorney’s fees, and other expenses arising out of or resulting from any act or omission of the Sponsor or its representatives.
Quantum Health assumes no responsibility for damage to or loss of the Sponsor’s property, including lost or delayed shipments, either inbound or outbound from the exhibition facility, nor for any moving or transportation costs. Sponsor shall be solely responsible for any damage resulting from improperly packed property or equipment.
Sponsor shall be responsible for the full Event fee regardless of any damage to or loss of their property or equipment. Sponsors are required to maintain appropriate insurance coverage for all of their equipment, property and at least $1,000,000 in general liability coverage for the Event.
17. Intellectual Property. Neither Sponsor nor Quantum Health obtains by this Agreement any right, title, or interest in, or any right to reproduce or to use for any purpose, the name, tradenames, trade or service marks, or logos (the “Marks”), or the copyrights of the other party. Each party shall submit to the other all advertising, written sales promotions, press releases, and other publicity matters relating to this Agreement in which the other party’s name or Marks are mentioned or language from which the connection of said name or Marks may be inferred or implied. Neither party shall publish or use such advertising, sales promotion, press release, or publicity matter without the prior written approval of the other party unless such publication, use or other disclosure is required by applicable law. Notwithstanding the above, Sponsor agrees to allow Quantum Health to use and reference its name and logos to identify them as an Event sponsor and promote the Event. All uses of a party's Marks, and all goodwill associated therewith, shall inure solely to the benefit of such party, and each party shall retain all right, title, and interest in and to its Marks.
18. Severability. If any provision of this agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
19. Compliance with Applicable Laws. Sponsor, its agents, and representatives shall comply with all applicable laws of the United States, the state and city where the Event is held, including but not limited to all rules and regulations governing the Event facilities, as well as requirements set forth by local Police and Fire Departments. Sponsor shall not engage in, nor permit any actions on the premises during the term of this contract that violate such laws, ordinances, or regulations.
20. Dispute. This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard of its conflict of laws principles. In the event of a dispute arising out of this Agreement, and as a condition precedent to any litigation, the parties agree to attend at least 8 hours of in-person non-binding mediation with a mutually agreed-upon mediator in Franklin County, Ohio. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of Franklin County, Ohio and the prevailing party in any litigation shall be entitled to its attorney fees.
